Terms of Service

These Terms of Service govern your access to and use of Invitebase — including our website, dashboard, SDKs, APIs, and related services. Please read them carefully.

1. Acceptance of These Terms

By creating an account, accessing the dashboard, installing an SDK, or otherwise using Invitebase (the “Service”), you agree to be bound by these Terms of Service (the “Terms”) and our Privacy Policy. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree to these Terms, do not use the Service.

2. The Service

Invitebase provides referral infrastructure for consumer applications, including: SDKs and APIs for integrating referral campaigns, referral link generation and attribution, AI-assisted fraud prevention and genuineness scoring of referral events, reward payout facilitation (such as cash, credit, and gift cards), and a dashboard for configuring, testing, and monitoring referral campaigns.

We may improve, modify, or discontinue features of the Service over time. Where a change materially reduces the core functionality you pay for, we will use reasonable efforts to notify you in advance.

3. Accounts and Registration

To use most of the Service you must register for an account, either with an email address or through a supported sign-in provider (such as Google or GitHub). You agree to provide accurate, current, and complete information and to keep it up to date.

You are responsible for safeguarding your account credentials and API keys, and for all activity that occurs under your account. Notify us promptly at legal@invitebase.com if you suspect unauthorized use of your account.

4. Acceptable Use

You agree not to, and not to permit others to:

  • use the Service to create, incentivize, or amplify fraudulent, deceptive, or artificially inflated referral activity;
  • attempt to manipulate, evade, or reverse engineer our fraud prevention or genuineness scoring systems;
  • use the Service in connection with unlawful, harmful, infringing, or abusive products, content, or conduct, or in violation of applicable sanctions or export laws;
  • probe, scan, overload, or disrupt the Service, or access it through automated means other than our documented SDKs and APIs;
  • resell, sublicense, or white-label the Service without our prior written agreement; or
  • misrepresent your identity or your relationship with Invitebase.

We may suspend or throttle access that we reasonably believe violates this section or threatens the security or integrity of the Service.

5. Customer Data and End-User Data

“Customer Data” means data you submit to the Service, including referral event data about your end users that our SDKs and APIs process on your behalf. As between you and Invitebase, you retain all rights in Customer Data. You grant us a limited license to host, process, and analyze Customer Data solely to provide, secure, and improve the Service, including operating fraud prevention and genuineness scoring.

You are responsible for your end-user relationships, including providing any legally required notices, obtaining any required consents for the collection and processing of end-user data through the Service, and honoring end-user privacy requests. You agree not to submit data to the Service that you do not have the right to provide.

6. Fees and Billing

The Service includes a free tier covering your first 100 validated referrals per month. Usage beyond the free tier, and any paid plans, are billed at the rates described on our pricing page or in an order form you agree to.

Fees are exclusive of taxes, which you are responsible for where applicable. Reward funds that you pre-fund for payouts to your end users are separate from usage fees and are disbursed through our payout partners. Except where required by law or expressly stated otherwise, fees are non-refundable. We may change pricing with reasonable advance notice; changes take effect at your next billing cycle.

7. Intellectual Property

Invitebase and its licensors own all right, title, and interest in the Service, including the SDKs, APIs, dashboard, documentation, models, and branding. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the SDKs and APIs to integrate the Service into your applications.

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction. We may use aggregated and de-identified usage data to operate and improve the Service, provided it does not identify you or your end users.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVITEBASE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT FRAUD PREVENTION AND GENUINENESS SCORING WILL DETECT ALL FRAUDULENT ACTIVITY OR NEVER PRODUCE FALSE POSITIVES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVITEBASE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service. Upon termination, your license to use the Service ends; sections that by their nature should survive (including Sections 5 through 9) will survive. We will make Customer Data available for export for a reasonable period after termination, after which we may delete it in accordance with our retention practices.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you — for example by email or through the dashboard — before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. The “Last updated” date above reflects the most recent revision.

12. Governing Law

These Terms are governed by the laws of [Jurisdiction], without regard to conflict-of-laws principles, and any disputes will be resolved in the courts located in [Jurisdiction], unless applicable law requires otherwise.
